Web and Sneak Attack

If a creature fails its save against a web spell, it's immobilized.  (It's officially Entangled.)  Does this allow it to be Sneak Attacked?

No because you're neither flat-footed nor are you denied your Dex to AC. You do take a penalty to Dex, but taking Dex penalties doesn't make one a valid target for SA to trigger.

On the side, Immobilized and Entangled are very different. Web never outright prevents movement, only slows it.

We ruled SA didn't apply because the rules didn't say it did, but wanted to be sure.

I think Sneak Attack would apply if the Dex penalty from being entangled brought your effective Dex down to zero. I don't see anything in the Entangled entry indicating that there's a minimum score of 1, like there is for most other instances of ability penalties.

Yes but then that doesn't have much to do with the Web spell itself anymore and instead is because your Dex is now 0 and you're now considered helpless as you fall over and become unable to move anymore
