Could use a helping hand with a template.

A player of mine wants to play a "Shade" but the level adjustment of +5 is a bit restrictive.

So he made a template as a suggestion. I would like to know what level adjust this approximately should be.

Shade:
Size and Type: Size remains unchanged. This is an aquired template.
Hit Dice: No change.
Speed: You feel lighter while in dim light or darkness. Gain 50% speed increase. This effect only works while the shade is in dim light or darkness.
Armor Class: The shadows around you protects you. Gain +1 AC as a deflection bonus, this bonus increases by 1 for each 5 HD (5 HD creature gain a +2 Bonus, 10 HD gains +3 and so on). This effect only works while the shade is in a dim light or darkness.
Attack: The shadows guides your attacks. Gain a Insight bonus to Attack rolls equal to 1 plus another 1 for each 5 HD (5HD creatures gain a +2 bonus, 10 HD gains +3 and so on). This effect only works while the shade is in a dim light or darkness.
Special Attack: All existings Extraordinary, Supernatual, and Spell-like abilities remain unchanged. Add the following to the base creatures's Spell Like abilities: No Light: 1/day, Caster level equil to half the base creatures HD (round up)
Special Qualities: Add the following to the base creatures special qualities:
Shadow Metabolism(Ex): A shade doesnt have a normal metabolism, if a shade spends at leats 1 hour uninterrupted in a fully darkened area, he gains nurishment. After this he wont need to eat, drink or sleep for 24 hours.
Fast Healing(Ex): The shade gains fast healing equal to 1 plus every 5th HD (5 HD creature's gain 2 fast healing, 10 HD gains 3 and so on). This effect only works while the shade is in a dim light or darkness.
Shadow Jump(Su): The shade can travel though the essence of shadows, pulling him though an entirely different dimension to instantaneously arrive at its destination. While in a shadowy area, the shade may teleport, with nothing more than a thought, to another shadowy area it sees within 120 ft of its current location. The Shade must have line of sight to the destination to use this ability, and it is actived as a free action. This can be used once per day per three HD of the base creature (Minimum 1, round down).
Darkvision(Ex): The shade gains 120 ft darkvision.
Flight(Su): A shade can fly at its base land speed (newly adjusted one if in shadows) with perfect maneuverability. The shade can fly even in the brightest light, as the shadowstuff it is created from is not affected by gravity.
Light Sensitivity(Ex): The shade, a being melded of the essence of shadow, does not react well to being placed in light. It takes a -2 penalty to its Strength, Dexterity and Constitution while in lighting conditions brigter than shadowy. Also, the shade has a vision range limited to 120 ft under these lighting conditions. The shade cannot see anything past 120 ft while in bright light, and insted of seeing the sky or horizon, as one normally would, the shade sees nothing but black beyond this vision border. However, if a shade is capable of casting Wish (or Miracle), it can wish for this ability to be removed. This wish costs the shade experience pints sufficient to lower its HD by two and put its experience total at the minimum for its current level. For example, a 17th level shade casts the wish to remove this flaw costs 15.000 xp a 18th level shade have to pay 16.000 xp and so on. A shade must do this by himself, he cannot cast wish out of a scrool or other item, nor can it have another creature cast wish on him to remove this effect.
Fire Vulnerability(Ex): A shade takes double damage from fire attacks and spells, due to the simple fact that fire gives off bright light.
Abilities: In a shadowy or darker area a shade gains +2 Dexterity. In additional, a shade gains +2 Intelligence and Charisma no matter of the lighting situation.
Skills: A shade gains +4 Hide, +4 Move Silently, Furthermore while in lighter bright then shadowy a shade takes -4 to all strength and dexterity based skill checks.

After going over it, I get a strong feeling of +2 LA. Seems a little bit weaker then Phrenic, a fairly strong +2 LA template, and a bit stronger then Half-Fey, a fairly weak (although still solidly) +2 LA template. I may be off, but that's what I'd set it as. Normal shade kinda sucks for the LA though, keep that in mind.

I'd consider changing Shadow Stride to be more in line with similar abilities.  Make it 20'/HD/day, split up however he wants, as a move action.  This is a significant nerf, but makes it much more in line with other abilities. 

Also, I don't remember ever seeing an Insight bonus to Attack rolls before.  I could be wrong, but you might consider changing it to a bonus type that's as common as Deflection is to AC.  Unless you want them to stack with everything, in which case change them to Circumstance or untyped.

Personally, I'd include a line in the Darkvision entry that allows it to work in magical darkness as well, and maybe change the name to See in Darkness so there's no confusion. 

As it is, I'd call it LA +2.  With my changes, it's probably high end +1 or low end +2.

What's this "No Light" SLA? Do you mean Darkness?

Light Sensitivity's clauses on Wish-powered removal seem ... pretty hacky. I don't really get what all the extra restrictions are for (scrolls don't work? what? why?), and I'm not even sure it should mention the possibility specifically. Also, instead of seeing darkness beyond the border, I think they should see brightness instead. :P Finally, a -2 penalty to Con requires recalculating HP, which seems ... a little unwise.

The reason its "No Light" is that it makes darkness. The "Darkness" spell gives concealment, but has no bearing on the light conditions in the area.

There were made an argument to me that the template would be a low LA+1, maybe even LA+0 with the drawbacks of the Light Sensitivity and Fire Vulnerability of the template.

Those arguments were made by fools and liars. It is a solidly LA +2 template as is. If you strip it of some bonuses, then we'd have an LA +1 template. No way this is anywhere near LA +0 though.

Yeah fire vulnerability sounds a lot worse than it really is.  It's pretty easy to become immune or resistant to, which supersedes your vulnerability.

"No Light" is a cantrip from the Book of Vile Darkness 3e supplement, page 100.
